These Terms and Conditions ("Terms") govern your access to and use of Busyleo, provided by The Shed Surrey Ltd, a company registered in England and Wales, registered office at The Shed, The Old Bowling Club, Shere Recreation Ground, Upper Street, Shere, England, GU5 9JF ("Busyleo," "we," "us," "our").

By creating an account, subscribing to a plan, or otherwise using our software and related services (the "Services"), you agree to be bound by these Terms, our Privacy Policy, and our Refund & Cancellation Policy (together, the "Agreement"). If you're accepting these Terms on behalf of a business, you confirm you have the authority to bind that business.

If you do not agree to these Terms, please do not use the Services.

1. The Services

Busyleo is an all-in-one CRM and business automation platform that helps businesses manage leads, communications, reviews, listings, payments, and marketing. We deliver the Services using third-party technology infrastructure and platform partners; our Services may therefore be subject to the availability, functionality, and limitations of that underlying infrastructure, which is outside our direct control.


2. Eligibility & Accounts

You must be at least 18 years old and have the authority to enter a binding contract to use the Services. You're responsible for the accuracy of the information you provide when registering, and for keeping your login credentials confidential. You're responsible for all activity that occurs under your account, whether or not authorised by you, and must notify us promptly of any unauthorised use.

3. Subscriptions, Fees & Payment

- Our current plans (Silver, Gold, Diamond) and their pricing are listed at busyleo.com/pricing. All prices are inclusive of UK VAT (VAT registration number GB247160514) unless stated otherwise.

- Subscriptions are billed in advance on a recurring monthly basis and automatically renew until cancelled. By subscribing, you authorise us to charge your payment method on file for each renewal at the then-current rate.

- We may charge additional fees for usage beyond your plan's included limits (for example, SMS or email volumes above your plan allowance). We will make reasonable efforts to notify you of any such charges in advance where practicable.

- We may change our pricing from time to time; we'll give you reasonable notice before any change takes effect on your next renewal.

4. Your Data & Your Responsibilities

You retain ownership of the content and data you upload or create using the Services ("Your Data"), including any information about your own customers, leads, or contacts.

If you use the Services to collect, store, or communicate with your own customers or contacts, you are solely responsible for:

- Having a lawful basis and all necessary consents to collect, use, and share that data;

- Maintaining your own privacy policy and terms of service that meet at least the same standard of protection as this Policy, and obtaining your customers' agreement to them;

- Complying with all applicable marketing and communications laws, including UK PECR/GDPR, US TCPA/CAN-SPAM, and equivalent laws in any jurisdiction you operate in, particularly in relation to SMS, email, and call communications sent through the Services;

- Responding to data subject rights requests (access, deletion, correction, etc.) from your own customers and contacts.

We may access your account for support, security, or platform-integrity purposes, or to comply with a legal request, but we do not control the content of the communications you or your customers send through the Services.

5. Acceptable Use

You agree not to use the Services to:

- Violate any applicable law or the rights of any third party;

- Send unsolicited spam, unlawful marketing, or communications without proper consent;

- Transmit malicious code, or attempt to gain unauthorised access to our systems or those of our infrastructure providers;

- Harass, defame, or exploit others, or post unlawful, hateful, or sexually explicit content;

- Misrepresent your identity or affiliation, or resell or sublicense the Services except as expressly agreed with us in writing.

We may suspend or terminate accounts that breach this section, with or without notice, particularly where required to protect the integrity of our platform or comply with our own obligations to our technology and infrastructure providers.

6. Intellectual Property

The Busyleo name, logo, software, website, and all related content are our property or that of our licensors, and are protected by copyright, trademark, and other laws. We grant you a limited, non-exclusive, non-transferable licence to use the Services for your business purposes during your subscription. You may not copy, modify, reverse-engineer, or create derivative works from the Services, except as we expressly permit.

7. Third-Party Services

The Services may integrate with or rely on third-party platforms, tools, and service providers. We are not responsible for the availability, accuracy, or performance of any third-party service, and your use of any such integration is at your own risk and subject to that provider's own terms.

8. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we make no warranty that the Services will be uninterrupted, error-free, or meet your specific requirements, and we do not guarantee any particular business outcome or result from using the Services.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability to you arising out of or relating to these Terms or the Services, however arising, will not exceed the amount you paid us in the 3 months immediately preceding the event giving rise to the claim. We are not liable for indirect, incidental, or consequential losses, including loss of profits, data, or business opportunity. Nothing in these Terms limits liability that cannot lawfully be limited, including for death or personal injury caused by negligence, or fraud.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right in connection with your use of the Services or Your Data.

11. Suspension & Termination

We may suspend or terminate your access to the Services if you materially breach these Terms, fail to pay applicable fees, or where we reasonably believe your account poses a legal, security, or platform-integrity risk. You may cancel your subscription at any time in accordance with our Refund & Cancellation Policy.

12. Changes to These Terms

We may update these Terms from time to time. We'll notify you of material changes by email or a notice on our website. Continued use of the Services after changes take effect means you accept the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any dispute arising from these Terms or the Services will be subject to the exclusive jurisdiction of the courts of England and Wales.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign your rights under these Terms without our written consent; we may assign ours in connection with a merger, acquisition, or sale of assets.
